Families United Network looking to become a CIO (CHARITABLE INCORPORATED ORGANISATION)

Proposal to Convert Our Charity to a Charitable Incorporated Organisation (CIO)

What is a CIO?

A Charitable Incorporated Organisation (CIO) is a legal structure designed specifically for charities. It allows a charity to become an incorporated organisation while remaining regulated by the Charity Commission.

Why Are We Proposing This Change?

Our Trustees believe that becoming a CIO will provide a stronger and more secure structure for the charity as we continue to grow and develop our services.

Benefits of Becoming a CIO

Limited Liability Protection

Trustees and members will have greater protection from personal liability when carrying out their duties on behalf of the charity.

A More Modern Structure

The CIO model has been specifically designed for charities and is now one of the most commonly used charity structures in the UK.

Easier Governance

A CIO operates under a single regulator, the Charity Commission, reducing administrative complexity.

Better for Future Growth

The structure provides a solid foundation for future development, funding opportunities, partnerships, and service expansion.

Improved Credibility

Many funders, partners, and stakeholders recognise the CIO structure as a robust and professional governance model.

What Does This Mean for Members?

The charity’s aims, values, and commitment to the people we support will remain exactly the same. This proposal relates only to the legal structure of the organisation and how it is governed.

Members will continue to play an important role in the charity and its future direction.

Why Is a Vote Required?

As members, you are the owners of the charity and have an important role in major decisions affecting its future.

The conversion to a CIO cannot take place without the approval of the membership. A vote will therefore be held at the AGM to allow members to decide whether they support this proposal.

The Trustees unanimously believe that becoming a CIO is in the best interests of the charity and recommend that members vote in favour of the proposal.

AGM Resolution

“That the members approve the conversion of the charity to a Charitable Incorporated Organisation (CIO) and authorise the Trustees to take all necessary steps to complete the conversion process.”
